02 / NEXUS & WAYFAIR
Nexus and Wayfair
An online store can have tax responsibilities beyond the state where its owner works.
What does nexus mean?
Nexus is a connection strong enough for a jurisdiction to impose a particular tax obligation. This lesson focuses on sales-tax nexus. Other taxes can use different tests.
Physical nexus
A store, employees, or inventory in a state can create a physical connection. Inventory held in a fulfillment warehouse deserves review even if the owner never visits that state.
Economic nexus
Sales activity can create a connection even without physical presence. A state’s rules determine the measurement period, which sales count, and the applicable threshold.

What changed in 2018?
In South Dakota v. Wayfair, Inc., the U.S. Supreme Court rejected the rule that physical presence was necessary for a state to require sales-tax collection. A seller’s economic activity could support a collection obligation.
The decision did not create one national sales-tax rate or make every online sale taxable. Developers should not translate “online sales” into a universal tax rule.

WISCONSIN EXAMPLE
Read the state’s own guidance
Wisconsin has an economic nexus standard for remote sellers and a small-seller exception. Its guidance also states that the exception does not apply to sellers with a physical presence in Wisconsin.
A Wisconsin-based business such as Northwoods Supply must investigate its Wisconsin obligations separately from its remote sales into other states. Wisconsin’s threshold does not apply nationwide.
Use the current DOR page to check which sales count, the measurement period, registration timing, and the current threshold. This site deliberately does not encode a numeric threshold.

Make monitoring possible
The business should review sales by state, time period, and sales channel with its tax professional. The developer can make those reports possible through accurate order records. A growing sales report is a prompt for review, not a legal decision by the website.
Check your understanding: no office, no obligation?
No. Economic activity may establish nexus without an office. Ask the business to check the destination state’s current rules rather than assuming that physical absence ends the inquiry.
